1. ACCEPTANCE OF TERMS AND ELIGIBILITY
This Terms of Service Agreement (the "Agreement") is a legally binding contract between 999Precious, INC (hereinafter "999Pawn", "we", "us") and you (hereinafter "User", "Member", or "Professional").

It is fundamental to the operation of 999Pawn that all Users understand our role in the marketplace.
2.1. Infrastructure Provider Only. 999Pawn provides a high-security B2B/B2C ecosystem consisting of an asset-listing web platform and real-time networking channels. WE ARE NOT A PAWNBROKER, A LENDER, AN AUCTIONEER, OR A FINANCIAL INSTITUTION.
2.2. No Participation in Transactions. * The "Passive Conduit": 999Pawn acts strictly as a passive conduit for the exchange of information.
3. PRIVATE CLUB CONDUCT AND ALPHA-CHANNEL PROTOCOLS
Membership in the 999Pawn Private Club is a privilege, not a right. To maintain a "Scam-Free" environment, all members must adhere to strict professional standards.
3.1. Alpha-Channel Integrity (WhatsApp/Telegram). Access to our real-time networking groups is provided solely for professional trading and expert consensus.
4. SUBSCRIPTION FEES, BILLING, AND CANCELLATION
999Pawn charges for access to its proprietary verification infrastructure and exclusive B2B lead network.
4.1. Monthly Membership Dues. Access to the Private Club and Alpha-Channels is subject to a recurring fee of $99.99 per month.
4.3. Termination for Cause. If 999Pawn terminates your account due to a violation of these Terms (e.g., fraud, illegal trade, or breach of conduct), you forfeit the remainder of your subscription month, and no refund will be issued.
5. TRANSACTIONAL DISCLAIMER AND COUNTERFEIT GOODS
5.1. Peer-to-Peer Nature. Every transaction initiated via 999Pawn is a private contract between the buying and selling parties.
6. INTELLECTUAL PROPERTY AND CONTENT USAGE
6.1. Ownership of the Ecosystem. All content, features, and functionality of the 999Pawn Ecosystem—including but not limited to software code, website design, the "Private Club" interface, logos, and proprietary lead-routing algorithms—are the exclusive property of 999Precious, INC. Any unauthorized reproduction or "scraping" of data is strictly prohibited.
6.2. Proprietary Lead Data. The retail inquiries (leads) distributed to Members are the confidential information of 999Pawn.
7. LIMITATION OF LIABILITY AND "AS-IS" WARRANTY
7.1. General Disclaimer. 999Pawn provides the Service "AS IS" and "AS AVAILABLE" without any warranties of any kind. We do not guarantee that the Service will result in any specific number of deals or revenue for your business.
7.2. Limitation of Liability. To the maximum extent permitted by law, 999Precious, INC shall not be liable for any indirect, incidental, special, or consequential damages, including:
8. GOVERNING LAW AND DISPUTE RESOLUTION (WYOMING JURISDICTION)
8.1. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law provisions.
8.2. Mandatory Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to this Agreement shall be settled by binding arbitration in Sheridan, Wyoming. You agree to waive your right to a trial by jury.
8.3. Class Action Waiver. YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST 999PAWN ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. This means you cannot "pool" resources with other 999Pawn members to sue us collectively.
9. TERMINATION AND MODIFICATION
9.1. Right to Terminate. 999Pawn reserves the right to terminate your access to the Ecosystem at any time, for any reason, including but not limited to the breach of these Terms, non-payment, or conduct harmful to the community.
9.2. Updates to Terms. We may modify these Terms at any time. Continued use of the platform after changes are posted constitutes your acceptance of the updated Agreement.

- You have the legal authority to bind your business to these Terms.
- All documentation provided during the Exclusive Access or registration process is authentic and current.
2. THE ECOSYSTEM AND THE "B2B BULLETIN BOARD" MODEL
It is fundamental to the operation of 999Pawn that all Users understand our role in the marketplace.

- No Financial Mediation: We do not facilitate payments, escrow funds, or guarantee the settlement of any transaction. All payments between Users occur outside of the 999Pawn Ecosystem.
- No Ownership of Assets: We never take title to, possession of, or responsibility for any assets listed by Users.
3. PRIVATE CLUB CONDUCT AND ALPHA-CHANNEL PROTOCOLS
Membership in the 999Pawn Private Club is a privilege, not a right. To maintain a "Scam-Free" environment, all members must adhere to strict professional standards.
3.1. Alpha-Channel Integrity (WhatsApp/Telegram). Access to our real-time networking groups is provided solely for professional trading and expert consensus.
- Anti-Poaching Policy: Members are strictly prohibited from using contact information obtained within Alpha-Channels to bypass the platform or "poach" retail leads distributed by 999Pawn for external use without authorization.
- Prohibited Behavior: Spamming, harassment, spreading unverified market rumors, or posting misleading "Expert Consensus" for personal gain will result in immediate permanent expulsion from the Ecosystem.
- Confidentiality: Any "Alpha" information, pricing data, or asset availability shared within these channels is proprietary. Leaking this data to non-members is a breach of this Agreement.
4. SUBSCRIPTION FEES, BILLING, AND CANCELLATION
999Pawn charges for access to its proprietary verification infrastructure and exclusive B2B lead network.
4.1. Monthly Membership Dues. Access to the Private Club and Alpha-Channels is subject to a recurring fee of $99.99 per month.
- Automatic Recurring Charges: By providing your payment method, you authorize 999Pawn’s Third-Party Payment Processor to charge the full monthly fee every thirty (30) days in advance.
- Non-Refundability (Strict Policy): All subscription fees are 100% non-refundable. This is due to the manual labor costs associated with the KYB (Know Your Business) audit process and the immediate, irrevocable access granted to our proprietary B2B marketplace and Alpha-Channels upon activation.
4.3. Termination for Cause. If 999Pawn terminates your account due to a violation of these Terms (e.g., fraud, illegal trade, or breach of conduct), you forfeit the remainder of your subscription month, and no refund will be issued.
5. TRANSACTIONAL DISCLAIMER AND COUNTERFEIT GOODS
5.1. Peer-to-Peer Nature. Every transaction initiated via 999Pawn is a private contract between the buying and selling parties.
- Zero Liability for Fraud: If a member sells a counterfeit item or fails to deliver an asset, 999Pawn is not liable. We do not provide buyer protection or seller insurance.
- Mandatory Reporting: Any member caught attempting to trade stolen or counterfeit goods will be permanently banned, and their verification data will be handed over to relevant law enforcement agencies (FBI, FinCEN, etc.).
6. INTELLECTUAL PROPERTY AND CONTENT USAGE
6.1. Ownership of the Ecosystem. All content, features, and functionality of the 999Pawn Ecosystem—including but not limited to software code, website design, the "Private Club" interface, logos, and proprietary lead-routing algorithms—are the exclusive property of 999Precious, INC. Any unauthorized reproduction or "scraping" of data is strictly prohibited.
6.2. Proprietary Lead Data. The retail inquiries (leads) distributed to Members are the confidential information of 999Pawn.
- Members are granted a limited, non-transferable license to use this lead data solely for the purpose of making a professional offer.
- Selling, sharing, or distributing these leads to third parties or non-members is a material breach of this Agreement and will result in immediate termination of membership and potential legal action for damages.
- You warrant that you have the right to share such content and that it does not infringe on any third-party intellectual property.
- You grant 999Pawn a non-exclusive, worldwide, royalty-free license to host, store, and use this content for the purposes of facilitating the marketplace and improving our valuation analytics.
7. LIMITATION OF LIABILITY AND "AS-IS" WARRANTY
7.1. General Disclaimer. 999Pawn provides the Service "AS IS" and "AS AVAILABLE" without any warranties of any kind. We do not guarantee that the Service will result in any specific number of deals or revenue for your business.
7.2. Limitation of Liability. To the maximum extent permitted by law, 999Precious, INC shall not be liable for any indirect, incidental, special, or consequential damages, including:
- Loss of profits, revenue, or data.
- Financial losses arising from transactions with other Users.
- Damages resulting from the use of (or inability to use) the Web Platform or Alpha-Channels.
- Errors in "Expert Consensus" or asset evaluations provided by other members. In no event shall our total liability exceed the amount you paid us for the subscription in the one (1) month prior to the claim.
8. GOVERNING LAW AND DISPUTE RESOLUTION (WYOMING JURISDICTION)
